TERMS OF SERVICE

Welcome to Opal Tickets (“Opal Tickets,” “Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, platform, and related services (collectively, the “Services”).

These Terms constitute a legally binding agreement between you and Opal Tickets. By accessing, browsing, or using our Services, including purchasing or selling tickets, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree, you may not use our Services.


1. NATURE OF SERVICES AND ROLE OF OPAL TICKETS

Opal Tickets operates as an online marketplace and technology platform that facilitates the listing, promotion, sale, and distribution of tickets for live events. Unless explicitly stated otherwise, Opal Tickets is not the organizer, promoter, venue operator, or host of any event listed on the platform.

All events are organized and controlled by third-party event organizers (“Organizers”). As such:

     Opal Tickets does not control the content, quality, safety, legality, or execution of events

     Opal Tickets does not guarantee the accuracy of event listings

     Opal Tickets is not responsible for event cancellations, delays, changes, or outcomes

Your contractual relationship for the event itself is between you and the Organizer.


2. ACCOUNT REGISTRATION AND SECURITY

To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep such information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. Opal Tickets shall not be liable for any loss or damage arising from unauthorized use of your account.

We reserve the right to suspend or terminate accounts that provide false information, engage in suspicious activity, or violate these Terms.


3. TICKET PURCHASES AND PRICING

When purchasing tickets, you agree that:

     All prices are set by Organizers or sellers and may include fees, taxes, and surcharges

     Availability and pricing are subject to change without notice

     Orders are not guaranteed until confirmed

Opal Tickets reserves the right to cancel or refuse any order in cases of suspected fraud, pricing errors, or violations of these Terms.


4. ALL SALES FINAL; REFUND POLICY

All ticket sales are final unless otherwise explicitly stated.Refunds, exchanges, or credits are not provided.

Service fees, processing fees, and platform fees are non-refundable under all circumstances.

GENERAL POLICY

All ticket sales made through Opal Tickets are final. Once an order is confirmed, it cannot be canceled, exchanged, or refunded except as expressly provided in this Refund Policy or as required by applicable law.

By purchasing tickets through Opal Tickets, you acknowledge and agree to this final sale policy and to the allocation of risk described herein.


ROLE OF OPAL TICKETS

Opal Tickets operates as a marketplace and intermediary between ticket buyers and event organizers. Opal Tickets does not organize, host, or control events and is not responsible for the performance, safety, legality, or quality of any event.

All decisions regarding refunds are made by the event organizer, except where otherwise required by law. Opal Tickets does not guarantee refunds under any circumstances.


EVENT CANCELLATIONS

If an event is completely canceled and not rescheduled, a refund may be issued in accordance with the event organizer’s policies.

Refunds, if approved, are typically limited to the ticket’s face value. Service fees and processing fees are non-refundable unless required by law.


EVENT RESCHEDULING

If an event is rescheduled, tickets will remain valid for the new date.

Rescheduled events do not automatically qualify for refunds unless determined by the event organizer or required by law.


EVENT CHANGES

Events may be subject to change, including changes to date, time, venue, lineup, or other details. Such changes do not entitle you to a refund.


DENIED ENTRY OR REMOVAL

No refunds will be issued if you are denied entry or removed from an event due to violations of venue policies, unlawful conduct, or disruptive behavior.


NON-REFUNDABLE FEES

All service fees, convenience fees, and processing fees are non-refundable under all circumstances, except where required by law.


LOST, STOLEN, OR UNUSED TICKETS

Opal Tickets is not responsible for lost, stolen, damaged, or unused tickets. Failure to attend an event does not entitle you to a refund.


CHARGEBACK POLICY

By purchasing tickets, you agree not to initiate a chargeback for valid transactions.

In the event of a dispute, Opal Tickets reserves the right to provide evidence to payment processors and pursue recovery of any associated costs or damages.

 


5. CHARGEBACKS AND PAYMENT DISPUTES

By completing a transaction, you represent that the purchase is authorized and legitimate.

You agree not to initiate a chargeback or dispute with your financial institution without first contacting Opal Tickets to resolve the issue.

Improper or fraudulent chargebacks may result in:

     Immediate suspension or termination of your account

     Forfeiture of tickets without refund

     Recovery efforts, including collections or legal action

Opal Tickets reserves the right to submit evidence to payment processors, including transaction records, IP address, device data, ticket usage records, and communications, in order to dispute chargebacks.

You agree to be responsible for all costs incurred as a result of improper disputes, including administrative fees, chargeback fees, and legal expenses.


6. IDENTITY VERIFICATION AND FRAUD PREVENTION

To protect the integrity of the platform, Opal Tickets may, at its discretion, require identity verification for users engaging in transactions.

This may include the collection and processing of personal identification information, including government-issued identification, facial verification, or other authentication methods through third-party providers.

You consent to such verification processes and acknowledge that failure to comply may result in:

     Cancellation of transactions

     Account suspension or termination

     Withholding of funds or tickets

We may also use automated systems and behavioral analysis to detect fraud, abuse, or suspicious activity.


7. USER CONDUCT AND PROHIBITED ACTIVITIES

You agree not to:

     Engage in fraudulent or deceptive practices

     Use bots, scripts, or automated tools to access the platform

     Resell tickets in violation of applicable laws

     Misrepresent events or listings

     Circumvent security measures

Violation of these Terms may result in account termination, transaction cancellation, and legal action.

ACCOUNT SHARING, RESALE MISUSE, AND UNAUTHORIZED USE

Your account is personal to you and may not be shared, transferred, or used by any other individual or entity without prior authorization from Opal Tickets.

You agree not to:

     Share your account credentials with others

     Allow unauthorized access to your account

     Use another person’s account without permission

     Engage in unauthorized resale, transfer, or distribution of tickets in violation of applicable laws or platform policies

Opal Tickets reserves the right to monitor account activity and may suspend, restrict, or terminate accounts that exhibit suspicious, abusive, or unauthorized behavior.

We shall not be liable for any loss, damage, or unauthorized transactions resulting from your failure to safeguard your account credentials or from any misuse of your account.

In addition, Opal Tickets reserves the right to cancel or invalidate tickets, with or without notice, if they are associated with fraudulent activity, unauthorized resale practices, or violations of these Terms.


8. USE OF DATA, TRACKING, AND BEHAVIORAL ANALYTICS

By using our Services, you acknowledge that Opal Tickets collects and processes data regarding your interactions, including browsing behavior, transaction activity, and engagement patterns.

This data may be used for:

     Fraud detection and risk assessment

     Platform optimization and analytics

     Personalization of content and recommendations

     Marketing and behavioral advertising

We may use cookies, pixels, and similar technologies, as well as third-party tools, to track user behavior across sessions and devices.


9. PRECISE GEOLOCATION AND DEVICE DATA

In certain circumstances, we may collect or infer precise or approximate geolocation data from your device, IP address, or interactions with our Services.

This information may be used to:

     Prevent fraud and unauthorized access

     Customize event listings based on location

     Comply with legal and regulatory requirements

You consent to the collection and use of such data as described.


10. THIRD-PARTY SERVICES AND PAYMENT PROCESSING

Our Services integrate with third-party providers, including payment processors and analytics platforms.

By using our Services, you acknowledge:

     Payment transactions are processed by third parties

     You are subject to their terms and policies

     Opal Tickets does not store full payment card information

Opal Tickets shall not be liable for errors, delays, breaches, or failures caused by third-party providers.


11. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Opal Tickets, its affiliates, officers, employees, agents, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to the use of, or inability to use, the Services. This includes, but is not limited to, damages resulting from event cancellations, postponements, delays, or changes; personal injury, illness, or property damage occurring at events; unauthorized access to or use of user accounts or data; or any acts, errors, omissions, or failures of third parties, including event organizers, venues, payment processors, or service providers.

In all circumstances, and to the maximum extent permitted by law, the total liability of Opal Tickets for any claim arising out of or related to the Services or any ticket purchased through the platform shall not exceed the total amount paid by the user for the applicable ticket giving rise to the claim.

 


12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Opal Tickets and its affiliates from any claims, damages, liabilities, and expenses arising from:

     Your use of the Services

     Your violation of these Terms

     Your infringement of any rights of a third party


13. ASSUMPTION OF RISK; WAIVER AND RELEASE OF LIABILITY

By purchasing, accepting, or using tickets obtained through Opal Tickets, you acknowledge that attendance at live events involves inherent and sometimes significant risks. These risks may include, without limitation, personal injury, illness, exposure to communicable diseases, crowd-related incidents, accidents, property damage, theft, or other unforeseen hazards that may occur before, during, or after an event.

You voluntarily assume all risks associated with attending or participating in any event for which tickets are purchased through Opal Tickets, whether such risks are known or unknown, foreseeable or unforeseeable.

To the fullest extent permitted by applicable law, you hereby release, waive, and discharge Opal Tickets and its officers, directors, employees, affiliates, agents, and service providers from any and all claims, liabilities, damages, losses, or expenses arising out of or related to:

     Your attendance at or participation in any event

     The acts or omissions of event organizers, venues, performers, or third parties

     Any injuries, losses, or damages sustained at or in connection with an event

This waiver and release applies regardless of the cause, including, to the extent permitted by law, claims based on negligence. By purchasing tickets, you voluntarily assume all risks associated with attendance and participation.


14. VENUE AND EVENT POLICIES

All tickets purchased through Opal Tickets are subject to the terms, conditions, and policies of the applicable event organizer and venue.

By attending an event, you agree to comply with all venue rules and policies, which may include, but are not limited to:

     Security screenings and bag checks

     Restrictions on prohibited items

     Behavioral and conduct requirements

     Health and safety protocols

Failure to comply with venue or organizer policies may result in denial of entry or removal from the event without refund.

Opal Tickets does not control and is not responsible for the enforcement of venue policies or decisions made by event staff or organizers.


15. FORCE MAJEURE

Opal Tickets shall not be liable or responsible for any failure or delay in performance of its obligations, or for any loss, damage, or inconvenience experienced by users, where such failure or delay results from events beyond our reasonable control.

Such events may include, but are not limited to:

     Acts of God (such as natural disasters, severe weather, or pandemics)

     Government actions, orders, or regulations

     War, terrorism, civil unrest, or labor disputes

     Power outages, system failures, or telecommunications disruptions

     Venue closures or capacity restrictions

In such circumstances, events may be canceled, postponed, or modified without liability to Opal Tickets. Refunds, if any, will be determined in accordance with the event organizer’s policies and applicable law.


16. NO WARRANTIES

To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

Opal Tickets disclaims all warranties, including but not limited to:

     The accuracy or completeness of event listings

     The availability or reliability of the platform

     The quality, safety, or legality of events

     The performance or conduct of event organizers or third parties

We do not guarantee uninterrupted or error-free operation of the Services.


17. BINDING ARBITRATION AND CLASS ACTION WAIVER

A. AGREEMENT TO ARBITRATE

To the fullest extent permitted by applicable law, you and Opal Tickets agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any transaction conducted through the platform (collectively, “Disputes”) shall be resolved exclusively through final and binding arbitration, rather than in court.

This agreement to arbitrate is intended to be broadly interpreted and includes, without limitation:

     Claims arising under contract, tort, statute, or regulation

     Claims relating to privacy, data security, or fraud

     Claims relating to ticket purchases, refunds, or event-related issues

Arbitration shall be conducted by a recognized arbitration provider and shall take place in the State of Texas, unless otherwise required by law.


B. CLASS ACTION WAIVER

You and Opal Tickets agree that any Dispute shall be brought solely in an individual capacity and not as part of any class, collective, consolidated, or representative action.

You expressly waive any right to:

     Participate in a class action lawsuit

     Act as a class representative

     Join or consolidate claims with other users

The arbitrator shall not have authority to conduct or preside over any form of class or representative proceeding.


C. WAIVER OF JURY TRIAL

To the extent any Dispute is permitted to proceed in court, you and Opal Tickets knowingly and voluntarily waive any right to a trial by jury.


D. SMALL CLAIMS EXCEPTION

Notwithstanding the foregoing, either party may bring an individual claim in small claims court, provided that the claim qualifies and remains on an individual (non-class) basis.


E. OPT-OUT RIGHT

You may opt out of this arbitration agreement by providing written notice to Opal Tickets within thirty (30) days of first accepting these Terms. Your notice must include your name, contact information, and a clear statement of your intent to opt out.

If you do not opt out within this period, you will be deemed to have knowingly and voluntarily agreed to this arbitration provision.


18. HIGH-RISK EVENT AND TRANSACTION RESTRICTION POLICY

A. RIGHT TO MONITOR AND RESTRICT

Opal Tickets reserves the right, at its sole discretion, to monitor, review, approve, reject, suspend, or remove any event listing, account, or transaction that may present elevated legal, financial, reputational, or regulatory risk.

This includes the right to take such actions before or after tickets are listed or sold.


B. PROHIBITED OR RESTRICTED EVENTS

The following categories of events and activities may be restricted or prohibited on the platform:

     Events that violate any applicable law, regulation, or licensing requirement

     Events involving illegal substances, unlawful activities, or controlled substances

     Events that promote violence, hate speech, harassment, or discrimination

     Events deemed unsafe or lacking appropriate permits, insurance, or security measures

     Events with a high likelihood of fraud, chargebacks, or consumer disputes

     Misleading, deceptive, or misrepresented events

Opal Tickets reserves the right to determine, in its sole judgment, whether an event falls within a prohibited or high-risk category.


C. PAYMENT PROCESSOR AND CARD NETWORK COMPLIANCE

All users, including event organizers and sellers, must comply with applicable payment processor requirements and card network rules (including but not limited to Visa, Mastercard, and other financial institutions).

Opal Tickets may take any action necessary to maintain compliance, including:

     Withholding or delaying payouts

     Imposing reserves

     Canceling transactions

     Suspending or terminating accounts


D. RISK MITIGATION MEASURES

In order to manage risk and protect the platform, Opal Tickets reserves the right to:

     Conduct enhanced due diligence or identity verification

     Monitor transaction patterns and user behavior

     Limit ticket quantities or transaction volume

     Delay fulfillment or access to tickets

     Require additional documentation from organizers

These measures may be applied at any time and without prior notice.


E. NO LIABILITY FOR ENFORCEMENT ACTIONS

Opal Tickets shall not be liable for any losses, damages, or claims arising from:

     The removal or cancellation of events or listings

     The suspension or termination of accounts

     The withholding or delay of funds or payouts

     Any actions taken in connection with risk management, fraud prevention, or compliance obligations


19. REGULATORY AND COMPLIANCE COOPERATION

Opal Tickets reserves the right to cooperate with law enforcement, regulatory authorities, payment processors, and financial institutions in connection with investigations, disputes, or suspected violations.

This may include the disclosure of user information, transaction records, and account activity to the extent permitted by law.


20. SERVICE AVAILABILITY AND TECHNICAL FAILURES

While Opal Tickets strives to provide reliable and uninterrupted access to the Services, we do not guarantee that the platform will be available at all times or free from errors, interruptions, delays, or technical issues.

You acknowledge and agree that the Services may be affected by factors beyond our control, including but not limited to system outages, maintenance, software or hardware failures, internet or telecommunications disruptions, or failures of third-party providers.

Opal Tickets shall not be liable for any losses, damages, or inconveniences arising from:

     Inability to access the platform

     Delays in processing transactions or delivering tickets

     Duplicate transactions, system errors, or technical malfunctions

     Loss of data, session interruptions, or failed communications

In the event of a technical issue, Opal Tickets reserves the right to cancel, modify, or delay transactions or ticket delivery as necessary to resolve the issue and maintain system integrity.

You acknowledge that your sole remedy for dissatisfaction with the Services is to discontinue use of the platform.


 

21. SURVIVAL OF TERMS

The provisions relating to arbitration, class action waiver, limitation of liability, indemnification, fraud prevention, and risk management shall survive the termination of your account or use of the Services.


22. ACKNOWLEDGMENT AND AGREEMENT

By purchasing tickets and using the Services, you acknowledge that you have read, understood, and agreed to:

     The assumption of risk

     The waiver and release of liability

     The incorporation of venue and organizer policies

     The limitations of liability and disclaimers set forth herein

You further acknowledge that these provisions are a material part of the agreement between you and Opal Tickets and are intended to allocate risk between the parties to the fullest extent permitted by law.


23. TERMINATION AND ENFORCEMENT

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any violation of these Terms or for risk management purposes.


24. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.


25. CHANGES TO THESE TERMS

We may update these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
